These Terms of Use (“Terms”) set out the conditions for using the online store (“Service”) provided on this website by Uchino LLC (“Company”, “we”, “us” or “our”). Anyone using the Service (“User” or “you”) must comply with these Terms.
Article 1. Application
These Terms apply to all matters relating to use of the Service between the User and the Company.
We may establish additional rules and provisions relating to use of the Service (“Supplementary Provisions”). Regardless of their title, these form part of these Terms.
If these Terms conflict with any Supplementary Provisions, the Supplementary Provisions take precedence unless they expressly state otherwise.
Article 2. Sales contracts
A sales contract is formed when you place an order and we notify you that we have accepted it. Ownership of the products transfers to you when we hand them over to the carrier.
We may cancel the sales contract without prior notice if:
- You breach these Terms;
- Delivery cannot be completed because the delivery address is unknown or you are absent for an extended period; or
- We otherwise determine that the relationship of trust between you and the Company has been compromised.
Payment, delivery, order cancellation and return procedures are governed by the separate procedures established by the Company.
Article 3. Intellectual property
Copyright and other intellectual property rights in product photographs and other content provided through the Service (“Content”) belong to the Company, content providers or other lawful rights holders. You may not reproduce, republish, modify or otherwise reuse the Content without permission.
Article 4. Prohibited conduct
When using the Service, you must not:
- Violate laws or public order and morals;
- Engage in conduct related to criminal activity;
- Infringe copyright, trademark rights or other intellectual property rights associated with the Service;
- Damage or interfere with the operation of our servers or networks;
- Use information obtained through the Service for commercial purposes;
- Engage in conduct that may interfere with operation of the Service;
- Gain or attempt to gain unauthorized access;
- Collect or store personal information about other users;
- Impersonate another user;
- Provide benefits, directly or indirectly, to antisocial forces in connection with the Service; or
- Engage in any other conduct we consider inappropriate.
Article 5. Suspension or interruption of the Service

- Your registration details are found to be false;
- The credit card you registered for payment has been suspended;
- You fail to meet payment obligations;
- You do not respond to our communications for a certain period;
- You have not used the Service for a certain period; or
- We otherwise consider your use of the Service inappropriate.
We accept no liability for any loss you suffer as a result of actions taken under this article.
Article 7. Disclaimer of warranties and liability
We do not warrant that the Service is free from factual or legal defects, including deficiencies relating to safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose or security, errors, bugs or infringement of rights.
We accept no liability for any loss you suffer through the Service. However, this exclusion does not apply if the contract between you and the Company concerning the Service, including these Terms, is a consumer contract as defined in Japan’s Consumer Contract Act. Even in that case, we accept no liability for loss arising from special circumstances caused by breach of contract or tort due to our negligence (excluding gross negligence), including circumstances in which the Company or User foresaw or could have foreseen the loss.
We accept no liability for transactions, communications or disputes between a User and other users or third parties relating to the Service.
Article 8. Changes to or discontinuation of the Service
We may change or discontinue the Service without notifying Users and accept no liability for any resulting loss.
Article 9. Changes to these Terms
We may change these Terms at any time without notifying Users if we consider it necessary. By using the Service after a change takes effect, you are deemed to have agreed to the revised Terms.
Article 10. Personal information
We handle personal information obtained through the Service in accordance with our Privacy Policy.
Article 11. Notices and communications
Notices and communications between the User and the Company must follow the methods specified by the Company. Unless you notify us of a change using our prescribed procedure, we will treat your currently registered contact details as valid. Notices or communications sent to those details are deemed to have reached you when sent.
Article 12. Assignment of rights and obligations
You may not assign your contractual status or any rights or obligations under these Terms to a third party, or offer them as security, without our prior written consent.
Article 13. Governing law and jurisdiction
These Terms are governed by Japanese law. The United Nations Convention on Contracts for the International Sale of Goods does not apply to the Service.
Any dispute relating to the Service is subject to the exclusive jurisdiction of the court having jurisdiction over the Company’s registered head office.
